Last updated: [DATE] These Supplemental Terms govern your use of Orderly Predict, the BTC 5-minute prediction market service (the “Product”) made available by Orderly Network Ltd. (“Orderly”, “we”, “us”, or “our”). These Supplemental Terms form part of, and are incorporated into, the Orderly Network Ltd. Terms of Use (the “Terms”), and are Supplemental Terms as defined in the Terms. In the event of conflict between these Supplemental Terms and the Terms, these Supplemental Terms shall prevail with respect to the Product. Capitalised terms not otherwise defined in these Supplemental Terms shall have the meanings given to them in the Terms. By accessing or using the Product, you agree to these Supplemental Terms and the Terms. These Supplemental Terms may be amended by Orderly Network Ltd. at any time. Updates will be effective upon posting, in the manner set out in the Terms.

1. Nature of the Product

1.1 The Product allows you to take a position on the price direction of Bitcoin (BTC) over fixed five (5)-minute rounds. 1.2 The Product is a self-custody interface. Rounds are settled by Orderly’s backend services rather than by smart contract. Orderly does not pool user assets, act as your broker, agent, fiduciary, investment manager, or adviser, or guarantee any outcome. 1.3 Nothing in connection with the Product constitutes investment, legal, tax, or other professional advice.

2. How the Product Works

2.1 Each round has a defined opening price and settlement price determined by reference to the Price Source described in Section 3. 2.2 If you hold your position until settlement and it is correct, you receive the applicable payout; if incorrect, you lose the amount staked on that position in full. If the settlement price equals the opening price (a tie), each share is settled at US$0.50. Before a round expires, you may close your position early, in which case your profit or loss is determined by the price at which the position is traded. Maker and taker fees apply to trades in the Product. 2.3 Rounds settle automatically by Orderly’s backend settlement service through a scheduled settlement job, and not by smart contract.

3. Price Source and Settlement

3.1 Opening and settlement prices are determined by reference to the Orderly PERP_BTC_USDC index price (the “Price Source”). 3.2 The Price Source may be delayed, inaccurate, or temporarily unavailable, particularly during periods of low liquidity or high volatility. 3.3 In the event of a Price Source failure or settlement anomaly, Orderly may delay settlement, retry and back-fill settlement, or manually record the settlement result, in its sole discretion. The Product does not currently support voiding a round or automatic refunds, and no fallback Price Source is available. Any such action is final and binding. 3.4 Orderly disclaims all liability for losses arising from Price Source errors, outages, or manipulation, except as required by applicable law.

4. No Investment Advice; Regulatory Characterization

4.1 Orderly makes no representation as to how the Product is or will be characterized under the laws of any jurisdiction. 4.2 You are solely responsible for determining whether your use of the Product is lawful in your jurisdiction.

5. Eligibility and Prohibited Persons

5.1 The Product is not offered to any US Person or Restricted Person, each as defined in the Terms. Access restrictions are applied at the front-end interface only; you must not access or use the Product, whether through the front-end interface, directly through the API, or otherwise, if you are a US Person or Restricted Person. 5.2 As set out in the Terms, you may not use VPNs, proxy servers, or other technical measures (including accessing the Product directly through the API) to disguise your location or circumvent these restrictions.

6. Risks

Use of the Product involves substantial risk, including total loss of the amount staked, short-window volatility and slippage, Price Source and oracle risk, backend settlement and operational risk, absence of round voiding and automatic refunds, trading fees, counterparty and third-party infrastructure risk, and regulatory risk. You acknowledge and accept that you may lose all funds used in connection with the Product, and that Orderly will not reimburse, insure, or otherwise cover any such losses.

7. User Responsibility

By using the Product, you represent and warrant that you accept the risk of total loss described in Section 6, that you are solely responsible for the legality of your use of the Product in your jurisdiction, that you will not rely on Orderly for investment, financial, or legal advice, and that you accept the settlement mechanics described in Section 3.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Orderly Network Ltd.’s aggregate liability for all claims arising from the Product shall be zero, consistent with the Terms.

9. Indemnification

You agree to defend, indemnify, and hold harmless Orderly Network Ltd. from any claims, liabilities, damages, or losses (including reasonable legal fees) arising out of or related to your use of the Product or breach of these Supplemental Terms, consistent with the Terms.

10. Governing Law and Dispute Resolution

These Supplemental Terms are governed by the governing law and dispute resolution provisions of the Terms: the laws of the Republic of Panama, without regard to conflict of law principles, with disputes resolved by arbitration administered by the Panama Conciliation and Arbitration Center (Centro de Conciliación y Arbitraje de Panamá), seated in Panama City, before one arbitrator, in English, subject to the class action waiver and claims limitation period set out in the Terms.
